Bienvenidos a Sherpas, la plataforma que conecta startups en búsqueda de fondos con inversores ángeles interesados en invertir. Estos términos y condiciones (los "Términos") establecen las reglas para el uso de la plataforma Sherpas. Al utilizar Sherpas, los miembros aceptan estos Términos y se comprometen a cumplirlos. These terms and conditions (the “Terms of Service”) govern your use of  We Are Sherpas LLC and its affiliates (together, "Sherpas," "we," "us," "our" or the "Company" services rendered through the website www.sherpas.la and/or the mobile application (the “Platform”) that the Company makes available. By using any services, features, or functions made available from time to time through the Platform (the “Services”), you agree that you have read, understood and accepted all of the terms and conditions contained in these Terms, as well as the Privacy Policy. The terms of the Privacy Policy are incorporated into the Terms of Service by this reference.

As this is a legally binding contract, please read carefully through these Terms of Service and the related notices before using any of our Services. By registering, accessing or using the Platform and/or the Services, you have agreed to the terms and conditions as laid out in these Terms.

Sherpas objective is to connect entrepreneurs, individuals, and companies, (together, "Founders") who are setting up a new business ("Startups"), with individuals and companies who may be able to provide them with financing, advice, consulting services, and other types of support and resources ("Investors"). Sherpas also provides consulting services to Founders, Startups, and Investors about entrepreneurship, the process of investing in startup companies, networking, and investor readiness.

• You understand and acknowledge that Sherpas is not responsible for any content on the Platform provided by any third parties, including Founders, Startups, and Investors, and any service providers or other third parties, or any content provided to you in connection with your use of the Platform even if that information is distributed to you on behalf of a third party by Sherpas, and is not liable for any type of loss or damage associated with your use of the Platform.
• Sherpas does not provide any legal, tax, investment, or financial advice.
• You acknowledge that nothing on the Platform constitutes an endorsement, a recommendation to buy securities or other financial instruments or any other type of investment advice to you by Sherpas.
• You acknowledge that Sherpas does not independently verify information regarding Startups or endorse you for investments of any kind.
• The information, materials and services made available on the Platform do not constitute a recommendation, endorsement, or any other form of investment advice.
• You expressly agree that the information, materials and services made available on the Platform are not a substitute for the exercise of independent judgment and expertise. You should always seek the assistance of a professional for advice on investments, tax, the law, or other similar matters.

1. Access to the Platform

1.1. As used in the Terms of Service, the terms "you" and "your" mean each individual or entity that accesses, browses or uses the Platform and/or the Services in any manner. If you are accessing the Platform and/or using the Services on behalf of an entity, you represent and warrant to Sherpas that you have the authority to bind the entity you represent to the Terms of Service. Your agreement to this Terms of Service will be treated as the agreement of the entity you represent.

1.2. We reserve the right to deny Service to any user for any reason.

2. Updates of the Terms of Service

Sherpas may update these Terms of Service at any time, at its sole discretion. The Company will provide appropriate notice of the updated terms by posting the updated Terms of Service on the Platform. If you do not agree to the updated Terms, you must stop using the Services and accessing the Platform. Should you disagree with any condition of these Terms of Service, please refrain from accessing the Platform and/or using the Services, proceed to leave the Platform and stop all usage of the Platform and any of the Services immediately. If you continue to use the Services, you are agreeing to be bound by the updated Terms of Service.

3. Eligibility.

You may only use the Platform and the Services if you are at least 18 years of age. If you are under the age of 18 or under the age of majority in the jurisdiction in which you are located, you must not use the  Platform and/or the Services.
